Terms and Conditions

  1. General
    • All offers or services and all resulting contractual relationship with UIS clients or suppliers shall be governed by these General Conditions unless otherwise agreed in writing. These General Conditions constitutes the entire agreement “Product Certification, Confidentiality and Non-disclosure Agreement (F.CP.01.03)” between the Client and UIS.
  2. Services
    • These General Conditions cover Product conformity certification services in accordance with GSO, SASO regulations. Any recommendation given to the client is not binding on UIS and the decision to issue a Certificate is at the sole discretion of UIS. Certification, suspension, withdrawal or cancellation of a Certificate shall be in accordance with the applicable UIS’ procedures. UIS may delegate the performance of all or part of the Services to a subcontractor and Client authorizes UIS to disclose all information necessary for such performance.
  3. Obligations of The Client
    • a) Obligation of the Client
    • As per (F.CP.01.03), the client accepts and undertakes to:
    • Provide all required documents or records during the certification process including any changes communicated with UIS.
    • Certified product shall continue to fulfil the product requirements if the certification applies to the ongoing production.
    • Make all necessary arrangements, service expenses and payment needed by UIS for conducting all certification activities.
    • Shall not use its product certification (including advertising) in such a manner as to bring the certification body into disrepute and does not make any statement regarding its product certification which UIS may consider misleading, unauthorized or violation of requirements.
    • Upon suspension, withdrawal, or termination of certification, the client discontinues its use of all advertising matter that contains any reference thereto and takes action as required by the certification scheme.
    • Client shall not provide gifts, or any benefit to UIS’s employees that could cause conflict of interests to their duties.
    • Inform the certification body without delay of changes that may affect its ability to conform to the certification requirements.
    • If any modification (reduction, addition or alternation) in scope of certification occurs due to the decision of UIS due to changes affecting certification done by applicant, the applicant always commits to using the last updated and approved scope of certification in all official announcements and advertising materials used to match the latest scope of certification.
    • Keep record of all complaints made known relating to the compliance with certification requirements and make these records available to UIS when requested with appropriate action taken to handle such complaints.
    • Immediately inform UIS on any intended modification in the product, its design, its packaging materials, the manufacturing process, the quality management system, specification, legal, commercial, organizational ownership status, and/or key personal and decision making.
    • b) Obligation of UIS
    • UIS is committed to:
    • Informing the client on any specified information regarding his application, certification status or any causes affecting processing of his application.
    • Retaining all information and documents according to legal and confidentiality rules.
    • Make publicity available a mechanism for clients to submit complaints.
    • Revoke the certificate in case the applicant fails to comply with certification agreement, its terms and conditions.
  4. Confidentiality
    • Confidential information shall mean any oral or written proprietary information that a client may acquire from UIS or vice versa, however, that confidential information shall not include any information becomes known to the public or be available to the receiving party on a non-confidential basis prior to the time of its disclosure by the disclosing party or disclosed to a party by an independent third party with a right to make such disclosure.
    • Unless required by law or by a judicial, governmental or other regulatory body, UIS or the client shall not provide any person or entity without a prior written approval of the other party except as expressly provided for herein.
    • Both UIS and client are committed to keeping all information confidential even after termination of the agreement between them.
  5. Certificate Ownership and Intellectual Property
    • Any document including, but not limited to any report or certificate, provided by UIS and the copyright contained therein shall be and remain the property of UIS and the Client shall not alter or misrepresent the contents of such documents in any way. The Client shall be entitled to make copies for its internal purposes only. Duplicates of Certificates are available upon request for external communication purposes.
  6. Communication
    • Client shall not use UIS’ corporate name or any other registered trademarks for advertising purposes unless otherwise permitted by UIS in writing.
  7. Fees
    • UIS services fees are subject to the market law and in such a way that shall not affect the quality of certification activities and/ or resulting in a conflict of interest or any risk to impartiality.
  8. Limitation of Liability and Indemnity
    • UIS takes all necessary measures to pay all required qualification for the performance of the services and accepts all responsibilities to the applicant in respect of any claim for loss, damage or expenses arising due to its conducted activities.
  9. Governance
    • As per (F.CP.01.03) agreement shall be governed and construed in accordance to the local applicable law of the branch representing UIS in front of the applicant.
